David Kirchblum

Co-Chair, Commercial Finance

David serves as co-chair of the firm’s Commercial Finance Practice and advises a wide range of clients — including public and private companies, private capital providers, and financial institutions — on complex corporate finance and other significant transactions. His practice spans acquisition-driven financings as well as leveraged, asset-based, and structured financings involving a broad array of asset classes and industries. He regularly counsels clients on the development and execution of financing structures and has experience managing cross-border transactions, including in Europe, East Asia, and South America. 

In addition to David’s finance experience, his practice concentrates on representing companies undergoing mergers, acquisitions, joint ventures, and other fundamental transactions. He routinely provides advice and guidance on structuring and forming companies for purposes of complex business arrangements, assists with general corporate and regulatory matters, and helps clients navigate changing market conditions and legal frameworks.

David’s clients benefit from his deep understanding of the evolving financial landscape and the strategic role of private equity, private credit, and structured products in capitalization and business transactions. His experience spans both traditional and specialty financings — such as fund finance, debtor-in-possession and distressed financings, and asset-backed loans — allowing him to tailor solutions to meet diverse commercial needs.

Prior to joining the firm, David worked at another larger international law firm in New York, Tokyo, and Singapore. He gained experience in corporate law representing companies in energy, consumer retail, health care, technology, manufacturing, real estate, and other industries. David led global project financing transactions across multiple jurisdictions; managed deliverables from foreign counsel and U.S. intellectual property, regulatory, restructuring, real estate, tax, and ERISA specialists; and drafted credit agreements, common terms agreements, sponsor support agreements, and all ancillary and collateral documentation.

David earned his bachelor’s degree from Colgate University and his law degree from Boston College Law School.

Cozen O’Connor acted as lead U.S. counsel to the owners of HEYDUDE®, a privately-owned casual footwear brand, in their definitive agreement to sell the companies comprising the HEYDUDE business to Crocs, Inc. (NASDAQ: CROX) for $2.5 billion. The consideration for the $2.5 billion acquisition will be $2.05 billion in cash and $450 million in Crocs shares.
