Revisiting the Rules: SEC Executive Compensation Roundtable [The Legal Intelligencer] 

Kathy Jaffari, Naz Jalali, and Rikisha Collins discuss the SEC’s recent roundtable on executive compensation disclosure requirements in The Legal Intelligencer. The roundtable focused on examining the factors influencing executive compensation decision-making, the policy objectives and development of the executive compensation rules as mandated by the Dodd-Frank Act, and the challenges of the existing regulatory framework for executive compensation disclosures.

Kathy, Naz, and Rikisha noted that the roundtable represented a consensus that disclosure reform is needed to better achieve the SEC’s goal to provide “clear, concise, and understandable” disclosure on executive compensation, though the steps to achieve that goal were not unanimously agreed upon. The SEC has received over 1,000 comment letters on the topic following their invitation to participants to submit their thoughts. It will take time for the SEC to review such comments, and it is unclear whether they have the ability to revise rules in whole or in part. Regardless, the roundtables are indicative of the SEC’s interest in reform.
